WilmerHale VC Report

This report reviews 2025 US venture financing and liquidity activity. Reported financings fell slightly, from 15,246 in 2024 to 14,934 in 2025, yet total reported proceeds rose 50%, from $212.9 billion to $318.6 billion, the second highest annual total on record behind the $358.5 billion raised in 2021. Venture-backed M&A value more than tripled year over year, surpassing the prior 2021 record, while IPO count rose only slightly but involved larger companies. The report examines the resurgence of mega-round financings and analyzes how SAFE and convertible note terms evolved through the year. A featured article explains how founders can misjudge SAFE conversion mechanics and suffer unexpected dilution that only becomes visible at conversion. Another section covers the One Big Beautiful Bill Act, signed July 4, 2025, which made permanent parts of the 2017 Tax Cuts and Jobs Act and altered rules on qualified small business stock and R&D expense deductions relevant to venture investors and portfolio companies.

Why is relevant?

For founders, the report's breakdown of SAFE and convertible note terms and its explanation of dilution mechanics offer a practical framework for negotiating early financing without giving up more equity than intended. For investors and fund counsel, the QSBS and R&D deduction analysis flags concrete, recently changed tax rules that affect deal structuring and portfolio company planning. The mega-round and M&A/IPO data also give both groups a current, US-specific benchmark for how deal size and exit activity shifted in 2025 relative to the 2021 peak.
